1.1.1.   The Sales Executive is responsible for receiving the request for cancellation and/or payment refund in the FO-MEX-002 Cancellation and/or Refund of Stand, from the exhibitor, and notifying the Medical Expo’s operations director about this refund request.

1.1.1.   Once the information is received, the operations director must analyze the appropriateness or inappropriateness of the refund and/or cancellation based on the following criteria:
· If the exhibitor is requesting the cancellation of the service contracted with Medical Expo and it’s entirely the client's responsibility.
· If there is a reason or cause of force majeure.
· If the responsibility lies with Medical Expo, in case of a change in date or changes within the main characteristics of the event, referring to: date, location, nature of the event, increase or change in costs.
· Unnotified changes from the event management.

1.1.2.   The operations director must decide whether the refund is appropriate due to Medical Expo's responsibility or if it is the responsibility of the exhibitor and what is being requested is the cancellation of the service contracted by Medical Expo. In the case of Medical Expo's responsibility due to non-compliance affecting the exhibitor directly regarding the offered service and the service being provided to the exhibitor, they must notify via email to the Audit Directorate and Legal Manager to delineate the company's responsibility and the amount and method in which the refund should be made to the exhibitor.

1.1.3. If the responsibility lies with the exhibitor and they request the cancellation of the service provided by Medical Expo, the cancellation will be carried out under the following guidelines:
· If the Exhibitor and/or Sponsor cancels total or partially the corresponding space for the Stand and/or any of the contracted sponsors subject to this policy, they must do so in writing, in which case the following provisions will apply:
(i) If the Administrator receives the corresponding cancellation notice within 30 (thirty) natural days following the date on which they received this agreement duly signed, the Exhibitor and/or Sponsor will only be entitled to a refund of the deposit (10% (ten percent) of the total consideration), with any other amount remaining in favor of the Administrator as a penalty or cancellation fee.
(ii) If the Administrator receives the cancellation notice with less than 180 (one hundred eighty) natural days’ notice prior to the opening or inauguration date of the Exhibition, the Exhibitor and/or Sponsor must pay the Administrator a penalty or cancellation fee equivalent to 50% (fifty percent) of the total consideration stipulated in this agreement.
(iii) If the Administrator receives the cancellation notice in writing with less than 120 (one hundred twenty) natural days’ notice prior to the opening or inauguration date of the Exhibition, the Exhibitor and/or Sponsor must pay the Administrator a penalty or cancellation fee equivalent to 100% (one hundred percent) of the total consideration stipulated in this agreement.
(iv) If the Administrator receives the cancellation notice with less than 2 (two) weeks’ notice prior to the opening date of the Exhibition, the Exhibitor and/or Sponsor must also pay the Administrator for expenses related to the decoration of the Stand and/or the fabrication of the contracted sponsors, as determined by the Administrator. In the event that the penalty or cancellation fee exceeds the total amount of payments made by the Exhibitor and/or Sponsor, they must pay the Administrator the difference needed to cover that fee at the time of cancellation for it to take effect. If the payments made by the Exhibitor and/or Sponsor to the Administrator, according to the provisions of this agreement, exceed the penalty or cancellation fee applicable, the Administrator will refund the difference to the Exhibitor and/or Sponsor upon the conclusion of the Exhibition. Except for any balances due to the Exhibitor and/or Sponsor in case of cancellation, payments made to the Administrator under the terms of this agreement will be non-refundable when incurred as a result of expenses incurred by the Administrator or the lost opportunity to allocate the space for the Stand to others. The Exhibitor and/or Sponsor acknowledges and accepts that any amount owed for penalties or cancellation fees will be considered as conventional penalties for all legal purposes.

· If the Exhibitor and/or Sponsor has not occupied the Stand before 12:00 (twelve) hours the day prior to the opening or inauguration of the Exhibition, it will be understood that the Exhibitor and/or Sponsor has terminated this policy on that date, and the Administrator will have the right to use the space designated for that Stand as deemed appropriate. In this case, the Exhibitor must pay the Administrator the amounts due as a cancellation fee.
·If the Exhibitor and/or Sponsor does not make the payments specified in this agreement on time, the Administrator may terminate the agreement, and the Exhibitor and/or Sponsor will be obligated to pay the Administrator the applicable cancellation fee, as established in clause (a), as if they had canceled this agreement on the date of the respective breach.

· The Exhibitor and/or Sponsor will be responsible for the total payment of the consideration stipulated in this agreement, regardless of whether the Exhibition is canceled, postponed, or partially relocated due to any disturbance, strike, civil disorder, war, fortuitous event, force majeure, or any other cause beyond the reasonable control of the Administrator, except for: (i) the reduction of the Exhibitor and/or Sponsor’s payment obligation as per the previous section; and (ii) what is provided in Section 20 (twenty) of this agreement.

· In case of cancellation of the event due to the current health emergency of Coronavirus 19, referred to in Mexico as COVID-19, a sanitary contingency, or any proven force majeure cause declared by the state, "The Administrator" must refund 100% of the payment received as an advance to the EXHIBITOR and/or SPONSOR.
